Terms of Service

What we provide, what you agree to, and how disputes are resolved.

1. Agreement

By creating an account or otherwise using the Odin Help platform (“Service”), you agree to these Terms of Service (“Terms”). If you are entering this agreement on behalf of a company, you represent that you have authority to bind that company.

2. The Service

Odin Help provides a hosted platform combining remote monitoring & management (RMM), ticketing, professional services automation (PSA), patch management, automation, remote access integration, and AI-assisted workflows.

We may add, modify, or remove features over time. Material reductions in core functionality will be communicated by email or in-app notice.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access.

Each technician license is for one named individual. Sharing credentials across multiple individuals is not permitted.

4. Acceptable use

You agree not to use the Service to:

  • Violate applicable laws or regulations.
  • Infringe intellectual-property rights.
  • Send spam, phishing, or other unsolicited bulk communication.
  • Interfere with or compromise the Service’s integrity or performance.
  • Reverse-engineer or attempt to extract source code, except as expressly permitted by law.

5. Your data

You retain all rights, title, and interest in the data you submit to the Service (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and improve the Service for you.

We do not sell your data, do not use it to train models for our own or third-party benefit, and do not share it with advertisers. See our Privacy Policy for the full picture.

6. Fees and billing

Fees for self-service plans are billed per technician per month, with RMM endpoints billed separately on the published per-device scale. Managed-service plans are billed per user per month with stated minimums. Fees are due in advance.

We use Stripe for payment processing. Stripe’s terms apply to card information; we do not store full card numbers.

7. Term and termination

The agreement runs from account creation until either party terminates. You may cancel any time from your account settings. Monthly plans cancel at the end of the current period; annual plans cancel at the end of the term.

We may suspend or terminate your account immediately for material breach (e.g. acceptable-use violation, non-payment) with reasonable notice. On termination, you can export Customer Data for 30 days before we delete it.

8. Service-level commitments

Enterprise and Advanced Hybrid Managed plans include a written uptime SLA documented in the order form. Self-service Basic and Pro plans are offered on commercially-reasonable-efforts basis without a contractual SLA.

9. Warranty disclaimer

The Service is provided “as is” and “as available”. Except as expressly stated, we disclaim all warranties, whether express, implied, statutory, or otherwise — including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Odin Help’s aggregate liability under this agreement will not exceed the fees you paid in the twelve months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, consequential, special, or punitive damages.

11. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced with at least 30 days’ notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law principles. The exclusive forum for disputes is the state and federal courts located in Richmond, Virginia.
